The Recent Revisions to Federal Proxy Regulations: Lifting the Ban on Shareholder Communications

This Comment first explores the origins of the proxy system and generally discusses its theoretical and practical aspects. It also addresses the practical and legal disincentives to shareholder monitoring that exist in the current proxy system. A detailed discussion of the proposals and recent amendments to the federal proxy rules follows. Finally, this Comment critically analyzes some contentions of various critics and proponents of the recent proxy regulation revisions to determine whether the Commission has chosen an appropriate course of regulatory action.
